1. About Braincenta
Braincenta is a cloud-based customer relationship management and business productivity platform. It may include tools for managing contacts, companies, email communications, shared inboxes, tasks, calendars, customer records, files, automations and AI-assisted features.
References in these terms to “Braincenta”, “we”, “us” or “our” mean the operator of the Braincenta platform.
References to “you” or “your” mean the individual, business or organisation accessing or using Braincenta.
2. Acceptance of These Terms
By accessing or using Braincenta, you confirm that you have read, understood and agreed to these Terms and Conditions and our Privacy Policy.
If you are using Braincenta on behalf of a business or other organisation, you confirm that you have authority to accept these terms on its behalf.
You must not use Braincenta if you do not agree to these terms.
3. Eligibility
Braincenta is intended for business and professional use. You must be at least 18 years old and legally capable of entering into a binding agreement to create an account.
You must provide accurate and complete information during registration and keep your account information up to date.
4. Your Account
You are responsible for maintaining the confidentiality and security of your account credentials.
You agree to:
- Use a strong and secure password.
- Restrict access to your account.
- Keep your contact and billing information accurate.
- Notify us promptly if you become aware of unauthorised access or suspected misuse.
- Accept responsibility for activity carried out through your account.
You must not share login credentials with unauthorised individuals or allow more users to access an account than permitted under your subscription.
5. Subscriptions and Plans
Some Braincenta features require a paid subscription. The features, limits and pricing applicable to each plan will be shown on our website or during checkout.
Subscription limits may include the number of users, connected mailboxes, contacts, storage, AI usage or access to particular features.
You are responsible for selecting a subscription suitable for your requirements.
We may introduce, remove or change subscription plans and features. Material changes affecting an existing paid subscription will normally take effect from a future renewal date unless the change is required for security, legal or technical reasons.
6. Free Trials
Braincenta may offer a free trial for a specified period. Free trials are intended to allow potential customers to evaluate the platform before purchasing a subscription.
Trial features, limits and availability may differ from those included in a paid plan.
At the end of the trial, access may be restricted or suspended unless a paid subscription is activated.
We may withdraw or limit a free trial where we reasonably believe that it is being abused or repeatedly claimed by the same individual or organisation.
7. Billing and Payment
Subscription fees are payable in advance unless otherwise stated during checkout or agreed in writing.
By purchasing a subscription, you authorise us and our payment provider to charge the applicable fees, taxes and renewal amounts using your selected payment method.
You must ensure that your payment information remains valid and that sufficient funds are available.
If a payment fails, we may retry the payment and may suspend access to paid features until the outstanding amount has been paid.
8. Automatic Renewal
Where automatic renewal is enabled, your subscription will renew at the end of each billing period unless it is cancelled before the renewal date.
The applicable renewal price will be the price communicated to you for your subscription, including any changes notified before renewal.
You can manage or cancel your subscription through the billing section of your account where that functionality is available.
9. Cancellation
You may cancel your subscription through your Braincenta account or by contacting us.
Unless otherwise stated, cancellation prevents future renewal and your paid access will continue until the end of the current billing period.
Cancelling a subscription does not automatically delete your Braincenta account or the information stored within it.
You remain responsible for exporting any information you wish to retain before your account or data is deleted.
10. Refunds
Subscription fees are generally non-refundable once a paid subscription period has started, except where a refund is required by applicable law or expressly agreed by us.
Failure to use the platform, forgetting to cancel before a renewal date or not using all available features does not automatically create an entitlement to a refund.
Refund requests will be considered according to the circumstances, the subscription purchased and any mandatory legal rights that apply.
11. Acceptable Use
You must not use Braincenta to:
- Break any applicable law or regulation.
- Send spam, unsolicited bulk email or unlawful marketing communications.
- Harass, threaten, impersonate, defraud or deceive another person.
- Store or distribute unlawful, harmful, abusive or infringing content.
- Introduce viruses, malware or other harmful code.
- Attempt to gain unauthorised access to accounts, systems or data.
- Interfere with the security, performance or operation of the platform.
- Circumvent subscription, usage or technical limits.
- Reverse engineer, copy or reproduce the platform except where permitted by law.
- Use the platform to violate privacy, intellectual property or data-protection rights.
We may investigate suspected misuse and suspend or terminate accounts where necessary to protect Braincenta, its users or third parties.
12. Email and Communication Features
Braincenta may allow you to connect email accounts, send messages, receive messages, synchronise mailboxes and manage communications.
You are responsible for all communications sent through your account and for ensuring that you have a lawful basis to contact each recipient.
You must comply with applicable laws relating to electronic communications, direct marketing, privacy and data protection.
Braincenta does not guarantee that every email will be delivered, received, synchronised or displayed without delay. Delivery may depend on third-party email providers, recipient servers, spam filters, internet availability and account configuration.
13. Google and Third-Party Integrations
Braincenta may integrate with third-party services, including Google, Microsoft, payment providers, email providers and other business applications.
Your use of a third-party service remains subject to that provider’s own terms, policies and availability.
You authorise Braincenta to access and process information from a connected service only to the extent required to provide the features you have selected.
You may disconnect an integration at any time, although doing so may prevent related Braincenta features from working.
We are not responsible for changes, restrictions, outages or termination of services operated by third parties.
14. Customer and CRM Data
You retain ownership of the customer, contact, company, email, file and other business information that you upload, import, create or synchronise within Braincenta.
You grant us permission to host, process, transmit and display that information only as required to operate and provide Braincenta.
You are responsible for ensuring that:
- You are entitled to collect and use the information.
- The information is accurate where reasonably required.
- Your use of the information complies with applicable privacy and data-protection laws.
- You have obtained any consent or permission required for communications or processing.
15. AI-Assisted Features
Braincenta may provide artificial intelligence features, including suggested replies, summaries, drafting tools, analysis and productivity assistance.
AI-generated content may be incomplete, inaccurate, unsuitable or misleading. It must not be treated as professional, legal, financial, medical or other specialist advice.
You are responsible for reviewing and approving AI-generated content before sending, publishing or acting upon it.
You must not use AI features to generate unlawful, harmful, fraudulent, discriminatory or infringing content.
16. Intellectual Property
Braincenta and its software, design, branding, source code, databases, documentation and original content are owned by or licensed to us and are protected by applicable intellectual property laws.
Subject to these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use Braincenta for your internal business purposes.
These terms do not transfer ownership of Braincenta or any of our intellectual property to you.
17. Availability and Maintenance
We aim to provide a reliable service, but we do not guarantee that Braincenta will always be available, uninterrupted, error-free or compatible with every browser, device or third-party service.
Access may be interrupted due to maintenance, updates, security incidents, hosting issues, internet failures, third-party outages or circumstances beyond our reasonable control.
We may modify, update or temporarily disable parts of the platform where reasonably necessary.
18. Backups and Data Export
We may maintain backups as part of operating the platform, but Braincenta must not be used as your only backup or permanent archive.
You are responsible for maintaining copies of important business records and exporting information you may require after cancellation or termination.
19. Suspension and Termination
We may suspend, restrict or terminate access to Braincenta where:
- Subscription fees remain unpaid.
- You materially breach these terms.
- Your use creates a security or legal risk.
- Your account is used fraudulently or unlawfully.
- Suspension is required to protect Braincenta, another user or a third party.
- We are required to do so by law.
Where reasonably possible, we will provide notice and an opportunity to resolve the issue before permanent termination, unless immediate action is necessary.
20. Disclaimers
Braincenta is provided on an “as available” basis. To the fullest extent permitted by law, we do not guarantee that the platform will meet every business requirement or produce any particular commercial result.
You remain responsible for your business decisions, communications, customer relationships, regulatory obligations and use of information stored in Braincenta.
21. Limitation of Liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation or death or personal injury caused by negligence.
To the fullest extent permitted by law, Braincenta will not be liable for indirect or consequential loss, loss of profits, loss of revenue, loss of business, loss of opportunity, loss of goodwill or loss of data.
Where liability cannot lawfully be excluded, our total aggregate liability relating to the service will not exceed the subscription fees paid by you to Braincenta during the 12 months immediately preceding the event giving rise to the claim.
22. Indemnity
To the extent permitted by law, you agree to compensate us for reasonable losses, claims, costs and expenses resulting from your unlawful use of Braincenta, your breach of these terms or your infringement of another person’s rights.
23. Privacy and Data Protection
Our collection and use of personal information is described in our Privacy Policy.
Where Braincenta processes personal data on your behalf, the respective responsibilities of the parties may also be governed by a separate data processing agreement.
24. Changes to These Terms
We may update these Terms and Conditions to reflect changes to Braincenta, our business practices, legal requirements or third-party services.
The updated terms will be published on this page with a new “Last updated” date.
Where a change materially affects an existing paid subscription, we may provide additional notice by email or through the platform.
25. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes arising from or relating to these terms, subject to any mandatory legal rights that apply.
26. General Provisions
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
A delay or failure to enforce a provision does not mean that we waive our right to enforce it later.
You may not assign or transfer your rights under these terms without our written consent. We may transfer our rights and obligations as part of a business sale, restructuring or transfer of the Braincenta service.
These terms, together with our Privacy Policy and any applicable order or subscription details, form the agreement between you and Braincenta regarding your use of the platform.
